Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of DomainBrokerX, a domain brokerage platform operated by Prime Loyalty LLC (“we,” “us,” “our,” “DomainBrokerX,” “the Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that organization to these Terms.

2. The Platform

DomainBrokerX is a white-label, multi-tenant domain brokerage software platform. It allows brokerages (“Brokerages,” “you,” “your,” when referring to a customer operating a brokerage on the Platform) to list, manage, and sell domain names to their own clients through a branded marketplace, and provides tools including client management, inquiry and offer handling, email notifications, and related administrative functions.

3. Accounts

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

4. Brokerage Responsibilities

If you operate a Brokerage on the Platform, you are solely responsible for:

• The accuracy of domain listings, pricing, and content you publish
• Your relationship and communications with your own clients
• Complying with all applicable laws related to your business, including consumer protection, data privacy, and anti-spam laws
• Any transactions conducted through your Brokerage's storefront

We are not a party to transactions between a Brokerage and its clients. We provide the software platform; we do not broker, guarantee, or take responsibility for the outcome of any individual domain sale.

5. Connected Third-Party Services

The Platform allows Brokerages to optionally connect third-party services to their account, including email providers (such as Google Workspace/Gmail, Brevo, or Amazon SES) for sending automated notifications. Your use of any connected third-party service is also subject to that provider's own terms of service. You are responsible for maintaining valid credentials/authorization with any service you connect, and for disconnecting access you no longer wish to grant.

6. Fees and Billing

Access to the Platform is provided on a subscription basis as described at the time of purchase. Fees are billed in advance on a recurring basis and are non-refundable except as required by law or as otherwise stated at the time of purchase. We may change our fees with advance notice; continued use of the Platform after a fee change takes effect constitutes acceptance of the new fee.

7. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation
• Send unsolicited bulk email (“spam”) or otherwise abuse any connected email-sending service
• Infringe on the intellectual property or other rights of any third party
• Upload or transmit malicious code, or attempt to gain unauthorized access to the Platform or other users' accounts
• Misrepresent your identity or affiliation, or impersonate any person or entity

We reserve the right to suspend or terminate access to any account that violates these Terms.

8. Intellectual Property

The Platform, including its software, design, and branding, is owned by Prime Loyalty LLC and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Platform. You retain ownership of the content and data you upload or input in connection with your own Brokerage (such as domain listings and client information), subject to the license below.

9. License to Use Your Content

You grant us a limited license to host, store, display, and transmit content you submit to the Platform solely as necessary to operate and provide the Platform's services to you and your clients.

10. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, Prime Loyalty LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Prime Loyalty LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party, including any claim arising from your Brokerage's own transactions or communications with its clients.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including for violation of these Terms. You may cancel your account at any time in accordance with the cancellation process described in your account settings. Upon termination, your right to use the Platform will immediately cease, though certain provisions of these Terms will survive termination, including Sections 8 through 12.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the state in which Prime Loyalty LLC is organized, without regard to its conflict of law principles.
